BRAC Uganda Bank Ltd launched on 25 April 2019 and attained its status as a Tier II Credit institution following a successful background as the leading Microfinance services provider in Uganda. The Bank operates 32 CI branches and 159 satellite offices covering 84 districts in Uganda targeting Micro, Small, and Medium Entrepreneurs. BRAC Uganda Bank Ltd promotes financial inclusion by extending financial services to unserved and underserved populations, especially women and youth as well as people living in poverty in rural areas. To enable improvement of the controls of the bank, we are seeking to fill the following vacancy.

 

Job Title: Head of Legal & Company Secretary
Reports to: Chief Executive Officer/ Managing Director



PURPOSE OF THE ROLE
To Develop, establish, lead, guide and manage the strategy for the Bank to mitigate risks and enable the business to achieve its strategic objectives.


MAIN JOB RESPONSIBILITIES
• Provide legal advisory to the Bank to ensure compliance with internal and external corporate governance and legal requirements
• Provide leadership to the Legal Unit and provide effective supervision and training of the department staff
• Provide Company Secretarial services to the Board and Shareholders and ensure efficient and effective board management as well as corporate governance
• Ensure that all departments are supported to minimize legal risks and support implementing appropriate courses of action that have been taken where applicable
• Review and guide management on legal implications of internal policies and procedures
• Manage external counsel to ensure the bank receives services in line with agreed terms and service level agreements in place
• Review all documentation with correspondent banks and ensure that all information required is provided
• Manage the performance of all staff in the department and ensure alignment of departmental objectives to the bank strategy
• Defend and protect the legal interests of the Company i.e. litigation, IP, government affairs and compliance.

 

REQUIRED QUALIFICATIONS & EXPERIENCE
• Bachelor of Laws degree and a Post Graduate Diploma inLegal Practice
• A minimum of seven years’ post-enrolment experience in either active legal practice (litigation bias) in a reputable law firm, as in-house counsel in a financial institution or large reputable institution
• Certificate to practice as a lawyer in a national jurisdiction
• At least six years of experience in a Financial Institution at Management level
• Possession of ICSA qualifications


KNOWLEDGE, SKILLS & COMPETENCIES
• Familiarity with the Banking, Finance and Insurance Laws and best practices in the respective fields
• Good writing, communication and reporting skills
• Excellent analytical skills with proven ability to provide prompt and sound legal advice
• Self-driven with a high level of confidentiality
• Ability to multitask and meet set deadlines
• Attention to detail
• Team player and able to embrace the Bank’s mission and values
• Excellent communication and presentation skills with ability to influence
